These Terms govern your access to and use of the website at allianceoracle.ai (the "Site") and the AllianceOracle platform once made generally available (the "Platform"). The Site and Platform are operated by Aurelian Ventures Ltd. ("we," "us," "our"). By using the Site you agree to these Terms.
1. Acceptance
By accessing or using the Site, submitting an access request, or otherwise interacting with AllianceOracle, you confirm that you are at least 18 years old, that you are accessing the Site in connection with a legitimate business purpose, and that you have authority to bind your organisation to these Terms where applicable.
2. The Site and the Platform
2.1 Nature of services
AllianceOracle is a business-to-business infrastructure platform connecting holders of legacy subsurface energy data ("Operators") with developers in critical minerals, geothermal, and carbon-storage industries ("Buyers"). The Platform provides verification scoring, structured licensing workflows, and fiat settlement services.
2.2 What we are not
AllianceOracle is not a broker-dealer, investment advisor, custodian, money services business, or financial institution. We do not provide investment, financial, tax, legal, or geological advice. We do not take custody of subsurface data. We do not issue, custody, trade, or settle securities, derivatives, digital assets, or tokens.
3. Eligibility
The Platform is offered only to organisations acting in the course of bona-fide business operations in the energy, critical minerals, geothermal, or carbon-storage sectors, or to advisors, investors, and partners reasonably connected to those sectors. We reserve the right, in our sole discretion, to decline any access request without explanation.
4. Pre-launch communications
Information presented on the Site about the Platform's features, scoring methodology, pricing, geographic phasing, and launch timing reflects current intent and is subject to change without notice. No statement on the Site constitutes an offer to contract or a binding representation about future Platform functionality. Definitive terms will be set out in a Master Services Agreement upon Platform launch.
5. Access requests and confidentiality
5.1 Information you submit
When you submit an access request via the Site, you represent that the information provided is accurate and that you have authority to submit it. We will treat the contents of such requests as confidential and will use them solely for the purposes described in our Privacy Policy.
5.2 Information we share
During pre-launch conversations we may share business plans, technical architecture, or commercial structures verbally, in writing, or via documents marked "Confidential." You agree not to disclose such information to third parties or use it for any purpose other than evaluating a potential business relationship with us. This obligation continues for two years from disclosure.
6. Intellectual property
All Site content — including text, graphics, logos, the AllianceOracle name and wordmark, the verification scoring methodology, software, designs, and the underlying source code — is the property of Aurelian Ventures Ltd. or its licensors, and is protected by Canadian and international copyright, trademark, and other intellectual property laws.
You may view, print, and download Site content for your internal business use only. You may not republish, redistribute, scrape, reverse-engineer, or use any Site content to train machine-learning models without our prior written consent.
7. Acceptable use
You agree not to:
- Use the Site for any unlawful or fraudulent purpose;
- Attempt to gain unauthorised access to any part of the Site, Platform infrastructure, or related systems;
- Interfere with or disrupt the Site's operation;
- Use automated means (other than standard search-engine crawlers acting in good faith) to access, scrape, or collect content from the Site;
- Submit false, misleading, or unauthorised information through any Site form;
- Use the Site to transmit malware or harmful code.
8. Disclaimers
The Site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted availability. We do not warrant that information presented on the Site is current or free from error.
Any business decision made based on Site content is made at your sole risk. Subsurface data verification scoring, when launched, is a technical assessment and is not a guarantee of geological, commercial, or regulatory outcomes.
9. Limitation of liability
To the maximum extent permitted by law, in no event will Aurelian Ventures Ltd., its officers, directors, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost data, or business interruption, arising from or related to your use of the Site, even if advised of the possibility of such damages.
Our aggregate liability for any direct damages arising from use of the Site will not exceed CAD 100.
10. Indemnification
You agree to indemnify and hold harmless Aurelian Ventures Ltd. and its affiliates from any claim, loss, liability, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.
11. Third-party links
The Site may link to third-party websites and resources. We do not endorse or control those sites and are not responsible for their content, accuracy, or practices. Your use of third-party sites is at your own risk and subject to their respective terms.
12. Modifications
We may modify these Terms at any time by posting an updated version on the Site. Material changes will be announced via the Site's footer notice. Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms.
13. Termination
We may suspend or terminate your access to the Site, in whole or in part, at any time and for any reason, including without notice for material breach of these Terms.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The courts of Alberta have exclusive jurisdiction over any dispute arising from these Terms, subject to our right to seek injunctive relief in any jurisdiction to protect our intellectual property.
15. Entire agreement
These Terms, together with our Privacy Policy and any Master Services Agreement that may apply, constitute the entire agreement between you and us regarding the Site and supersede any prior understandings. If any provision is found unenforceable, the remaining provisions remain in full force.
